Welcome to Dewel Network. These Terms of Service ("Terms") govern your access to and use of the websites, services, and applications operated by Dewel Network LLC ("Dewel Network," "we," "us," or "our"), including dewelnetwork.com, Dewel Music, Dewel Movies, and any future platforms.

By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our services.

1. Acceptance of Terms

By creating an account or using any Dewel Network service, you confirm that you are at least 13 years old (or the age of majority in your jurisdiction) and have the legal capacity to enter into these Terms. If you are using our services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Our Services

Dewel Network operates platforms that connect independent creators with audiences:

• Dewel Music: A platform for discovering and purchasing independent music for in-app listening
• Dewel Movies: A platform for renting and watching independent films and series
• Dewel Books: A publishing platform for independent authors (coming soon)
• Dewel Travel: A platform for curated travel experiences (coming soon)

Music purchases provide access to listen within our apps and services. Movie rentals provide time-limited access for viewing; standard rental access is 48 hours from the start of playback.

Each platform may have additional terms and conditions specific to that service.

3. User Accounts

To access certain features, you must create an account. You agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Promptly update your information if it changes
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Content and Intellectual Property

Your Content

If you upload, submit, or create content on our platforms ("User Content"), you retain ownership of your intellectual property rights. By uploading content, you grant Dewel Network a non-exclusive, worldwide, royalty-free license to use, display, distribute, and promote your content in connection with our services.

You represent and warrant that:

• You own or have the necessary rights to your content
• Your content does not infringe any third-party rights
• Your content complies with all applicable laws

Our Content

All content, features, and functionality of our services (excluding User Content), including but not limited to text, graphics, logos, icons, images, and software, are owned by Dewel Network or its licensors and are protected by intellectual property laws.

5. Prohibited Conduct

You agree not to:

• Violate any applicable laws or regulations
• Infringe the intellectual property rights of others
• Upload content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable
• Impersonate any person or entity
• Interfere with or disrupt our services or servers
• Attempt to gain unauthorized access to our systems
• Use automated means to access our services without permission
• Engage in any fraudulent or deceptive practices
• Circumvent any content protection or access controls

6. Payments

Some of our services require payment. By making a purchase or rental, you agree to:

• Pay all applicable fees and charges
• Provide accurate payment information
• Authorize us to charge your payment method

Payments are processed through authorized payment providers or app stores. Refunds, if any, are handled according to the applicable provider or store policies and applicable law.

7. Creator Payments

Creators on our platforms are compensated according to the terms of their respective creator agreements. Payment schedules, thresholds, and fees vary by platform and are provided in those agreements and in creator dashboards.

8. Disclaimers

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that our services will be uninterrupted, secure, or error-free, or that any defects will be corrected.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEWEL NETWORK AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Dewel Network and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of our services, your content, or your violation of these Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

12. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our services after changes become effective constitutes acceptance of the revised Terms.

13. Termination

We may terminate or suspend your access to our services at any time, with or without cause, with or without notice. Upon termination, your right to use our services will immediately cease.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
